Terms of Use

The Yarn is an Australian independent publishing and newsletter platform. These Terms govern your use of The Yarn public site, our newsletters, accounts, creator and publication tools, advertising enquiries and future paid products if they are enabled. These Terms apply to visitors, readers, subscribers, account holders, creators and publications, and advertisers. They are written in plain language.

Working terms notice

These are working terms for the current pre-launch and platform build. The final legal entity and contact details below must be completed before launch, paid subscriptions, creator onboarding or advertising sales. Until then, the placeholders mark the information that will be confirmed.

Who operates The Yarn

The Yarn is operated by:

Acceptance of these Terms

By accessing or using The Yarn, you agree to these Terms. If you do not agree, do not use the platform. Additional terms may apply to future paid products, creator tools, advertiser campaigns or other services, and those additional terms apply together with these Terms.

Who may use The Yarn

You must have the legal capacity to accept these Terms in order to use The Yarn. Where permission or supervision is required, under-age users must use the platform only with that permission or supervision. The Yarn is not directed to young children. The Yarn does not operate age-verification or identity-verification systems.

Accounts and security

Where you create an account, you must provide accurate information and keep it up to date. You are responsible for keeping your login credentials secure and for activity that occurs under your account. You must notify The Yarn promptly of any suspected unauthorised use. The Yarn may suspend or restrict accounts for security, legal or breach reasons.

Readers and subscribers

Readers may access public content subject to these Terms. Subscribers are responsible for providing accurate email details. How newsletter email and unsubscribe requests are handled is described in the Privacy Policy. You can opt out at any time using the unsubscribe link in our emails, and you do not need to log in or create an account simply to unsubscribe.

Creators and publications

Creators and publications are responsible for their own content. You must ensure you have the rights to publish any material you submit, and you must comply with the law, these Terms, your privacy obligations and any future content or acceptable-use rules.

You must not submit content that is unlawful, infringing, misleading, abusive, spammy or harmful to platform security. If you later import or use your own audience lists, you are responsible for ensuring you have a lawful basis and the necessary consent for those contacts.

Creator-owned audiences and subscriber lists

This is central to how The Yarn works. Each creator/publication owns its own audience and subscriber list. The Yarn provides the platform tools and infrastructure.

  • The Yarn does not claim ownership of creator subscriber lists
  • The Yarn does not pool creator audiences into a shared or global audience
  • The Yarn does not expose raw subscriber emails to advertisers
  • The Yarn does not export or disclose creator subscriber lists outside agreed product flows or legal requirements

If creators later import their own lists, they must confirm they have a lawful basis and the necessary consent for those contacts.

Advertisers and advertising enquiries

Advertising on The Yarn is enquiry-only and cannot be self-served or purchased unless and until that is enabled. Advertisers are responsible for ensuring their creative and claims are lawful, accurate and not misleading.

The Yarn may accept, reject, pause or remove advertising enquiries or campaigns at its discretion. The Yarn does not guarantee any particular performance, clicks, impressions, conversions or revenue, and advertisers do not receive raw subscriber emails. Advertising terms may be expanded before any live advertising sales.

Content ownership

You and other creators retain ownership of the content you submit. The Yarn does not take ownership of creator content merely because it is published through the platform. You must not submit content that you do not have the right to use.

Licence to operate the platform

So that The Yarn can run, you grant The Yarn a limited, non-exclusive, worldwide licence to host, store, reproduce, display, transmit and distribute the content you submit, only as reasonably necessary to operate, secure, promote and improve the platform and to deliver the content and newsletters that are requested.

This licence is not a broad rights grab. It ends when content is removed, subject to backups, legal and security records, and uses that were already made lawfully while the content was on the platform.

Prohibited conduct

When using The Yarn, you must not:

  • engage in unlawful conduct
  • infringe intellectual property or privacy rights
  • send spam or scrape, harvest or misuse data
  • attempt to access accounts or systems without authorisation
  • upload malware or interfere with platform security
  • impersonate others or use the platform in a misleading way
  • harass, abuse, threaten or intimidate others
  • use The Yarn to breach the law or the rights of others

Moderation, suspension and removal

The Yarn may review, moderate, remove, restrict or suspend content or accounts where it considers this necessary. Reasons include breach of these Terms, legal risk, security risk, rights complaints, operational risk or protecting the integrity of the platform.

The Yarn does not promise to monitor or moderate all content at all times, and does not guarantee that any content will be published or remain available.

Copyright and complaints

If you are a rights holder and believe content on The Yarn infringes your rights, you can contact The Yarn at [LEGAL CONTACT EMAIL]. Your complaint should include enough information to identify the content, the rights you claim and your contact details.

The Yarn may remove or restrict disputed content while it assesses a complaint. A dedicated copyright and takedown page may be added later.

Privacy

Personal information is handled in accordance with the Privacy Policy, which you can read at /privacy. Creator-owned audiences and subscriber records must also be handled consistently with privacy and consent obligations.

Third-party services

The Yarn uses, or may use, service providers for hosting and infrastructure, database and storage, email delivery, authentication and security, analytics, and, in the future, payment processing and advertising tools. These third-party services may have their own terms and policies. The Yarn is not responsible for third-party services beyond what the law requires.

Paid products, billing and refunds

Paid subscriptions, creator monetisation, billing, payouts and self-serve advertising are not live unless they are separately enabled. If paid products are enabled, additional pricing, billing, cancellation and refund terms will be provided at that time.

The Yarn does not make any current paid-product, creator revenue or payout promise. Your consumer rights are preserved, and any refund terms will respect those rights.

Australian Consumer Law and non-excludable rights

Nothing in these Terms excludes, restricts or modifies any rights, guarantees or remedies that cannot be excluded under the Australian Consumer Law or other applicable law. These are non-excludable rights.

Where The Yarn is permitted by law to limit its liability, that liability may be limited to re-supplying the relevant services or paying the cost of having them re-supplied, where that is permitted. There is no unfair one-sided exclusion.

Disclaimers

To the extent permitted by law, The Yarn is provided on an as-is and as-available basis. The Yarn does not guarantee uninterrupted access, error-free operation, particular results, revenue, reach, ranking, delivery, advertising performance or availability. These disclaimers are subject to your non-excludable rights under the Australian Consumer Law.

Limitation of liability

To the extent permitted by law, The Yarn is not liable for indirect, consequential, special or loss-of-profit damages arising from your use of the platform. Any limitation of liability is carefully qualified and is subject to your non-excludable rights under the Australian Consumer Law. The Yarn does not attempt to exclude liability that cannot lawfully be excluded.

Indemnity

To the extent permitted by law, you agree to indemnify The Yarn for reasonable losses arising from your breach of these Terms, your unlawful conduct, your infringement of the rights of others, your misuse of the platform, or content you submit. This indemnity is scoped to your own conduct and is not intended to be overbroad.

Termination

You may stop using The Yarn at any time. The Yarn may suspend or terminate your access for breach, legal risk, security risk, operational risk or to protect the integrity of the platform.

Provisions about content ownership, licences for uses already made, liability, indemnity, privacy, and dispute resolution and governing law may survive termination where appropriate.

Changes to these Terms

The Yarn may update these Terms from time to time. Material changes may be notified by a notice on the site or by other reasonable means. If you continue to use The Yarn after a change, the updated Terms apply to you. The Yarn will not rely on overbroad unilateral variation without reasonable notice.

Governing law

These Terms are governed by the laws of Victoria, Australia. You and The Yarn submit to the courts of Victoria, Australia and the courts entitled to hear appeals from them.
